Article I (name)
The name of this organization shall be the Morningside Gardens Camera
Club. The Club is an affiliate of the Morningside Gardens workshop.
Article II (membership)
All adult residents of Morningside Gardens and all Morningside Gardens
regular employees, who are 16 years of age and over, who are current members
of the Morningside Gardens workshop, are eligible to become members of
the Morningside Gardens Camera Club. No person is to be refused membership
because of race, color, religion, sex, or national origin. A member is
one who has paid Camera Club dues for the current membership year (October
to October).
Article III (purpose)
The purpose of this club is to provide expanded opportunities for participation
by Morningside Gardens residents in the enjoyment of photography.
Article IV (meetings)
Section 1: Club meetings will be held periodically (at least quarterly)
as proposed by the Chairperson and the Executive Committee.
Section 2: The Executive committee shall meet before each membership
meeting and as requested by the Chairperson.
Section 3: The annual Meeting of the Club shall take place on
or about the fourth Thursday of each April.
Article V (officers)
The elected officers shall consist of a chairperson, a Vice-Chairperson,
a Secretary and a Treasurer.
Section 1: The Chairperson shall preside at all general meetings
of the club and of the Executive Committee. In his or her absence, the
Vice-Chairperson will preside. In the absence of both the chairperson
and the Vice-Chairperson, any officer may preside in the following order:
Secretary, Treasurer.
Section 2: The vice-Chairperson shall coordinate specific projects
of the Club as defined by the Chairperson in coordination with the Executive
Committee.
Section 3: Secretary- The Secretary shall record minutes of each
Executive Committee Meeting, which shall be read at the beginning of each
subsequent Executive committee meeting. At each General club Meeting the
Secretary shall give an oral summary of the program any issues raised
at the prior General Meeting.
Section 4: Treasurer - the Treasurer shall be responsible for any income
received by the Club and shall pay all bills for expenses approved by
the Executive committee. The Treasurer shall maintain financial records
and present regular reports to the Executive committee and to the general
membership.
Section 5: The term of each elected officer shall be one year
from the date of election, and shall end on the date of the next annual
Meeting. When an interim officer is appointed by the Executive committee
to fill a vacancy, that officer's term shall expire at the next annual
meeting.
Article VI (committees)
Section 1: The Executive committee shall consist of the elected
officers and of no more than four members-at-large.
Section 2: The Chairperson shall select members-at-large with
the approval of the other elected officers.
Section 3: The Executive Committee shall create committees as
they are needed, for example, Membership Committee, Dark room Committee,
Exhibits Committee, Nominating Committee, audit Committee, etc.
Section 4: Committee Chairpersons will be appointed by the Club
chairperson with the approval of the Executive Committee.
Article VI (finances)
The fiscal year of the Club will be from October 1 through the following
September 30. The financial accounts of the club shall be reviewed by
the Executive Committee at every meeting. There shall be annual club membership
dues and additional fees for the use of the Darkroom and for rental of
lockers, as determined by the Executive Committee.
Article VIII (nomination and election of officers)
Section 1: The Nominating Committee shall prepare a slate of officers
and present it at a general meeting at approximately one month before
the Annual Meeting of the Club. This list shall be presented again at
the Annual Meeting of the general membership
Section 2: At the Annual Meeting members may nominate additional
candidates for any office.
Section 3: The names of any additional nominees shall be added
to the ballot after these nominations have been seconded and the person
so nominated has agreed to have his or her name put on the ballot.
Section 4: Election of officers for the following year shall be
held at the annual Meeting of the general membership. Officers shall be
elected by a majority vote of the membership present.
Article IV (amendments)
Section 1: These by-laws may be changed in either of the following
two manners:
(1) The Executive committee may propose a change in the by-laws. One
month prior notice of the specific proposed changes must be given to the
membership before the meeting in which the proposed changes are voted
upon.
(2) By petition of a majority of members a special meeting may be called
to consider changes in these by-laws. One month prior notice of the specific
proposed changes must be given to the membership.
In either case 30 percent of the Club members must be present, and two-thirds
of the members present must vote to approve the proposed changes.
